    The Corporate Legal Counsel is part of the General Counsel’s legal team which is responsible for protecting the Corporation’s best interests by identifying, administering and managing all of the corporation’s legal matters. The position also serves as a member of the Corporate Compliance Committee and has primary responsibility to the HR and Managed Care Departments. This position reports directly to the General Counsel and serves at the pleasure of the CEO and senior leadership. It provides officers and employees with bilingual, professional and ethical guidance in identifying the critical, sensitive and complex problems to which the application of legal principals yields the greatest opportunities for minimizing risks and maximizing profits. The VP Assistant General Counsel works with outside attorneys and paralegal generalists and assistants. Working as a business partner with the legal staff is required and critically important to the position. Providing creative forward looking solutions to complex legal issues is the goal.


    1. Participates with all departments on developing and modifying policies and procedures to conform to legal requirements and other potential implementation problems.
    2. Keeps fully informed on health care regulatory compliance laws and litigation processes as well as all legislation affecting the organization's operations and of all new developments in corporate legal matters
    3. Informs the General Counsel of applicable new laws and of the progress and results of court cases
    4. Maintains a comprehensive knowledge of pertinent federal and state laws, regulations, rulings, interpretations and court decisions as they affect the Corporation
    5. Serves as liaison with carefully selected outside legal firms and assists in monitoring and evaluating their activities.
    6. Responsible for oversight of assigned legal issues
    7. Responsible for management of assigned strategic organizational operations, goals and policy.
    8. Acts as a key participant and gives hands on advice relating to: human resources; corporate governance; medical staff issues; insurance and claims/risk management functions; drafting, reviewing, interpreting and negotiating contracts; drafts key agreements and correspondence regarding acquisitions, financings, development and/or sale of properties or facilities and other corporate and legal concerns.
    9. Maintains professional and technical knowledge by attending educational workshops; reviewing professional publications; establishing personal networks; participating in professional societies.
    10. Contributes to team effort by accomplishing related results as needed.
    11. Recognizes and accepts responsibility for all parts of the job.
    12. Demonstrates honesty an ethical behavior as an AltaMed employee.
    13. Maintains the highest standards of professionalism as manager of the corporation.


    1. Juris Doctorate Degree required
    2. Licensed to practice law in California required
    3. Must have supervisorial and managerial experience
    4. Knowledge of health care government programs, e.g., Medicare, Medicaid, Medicare-Medicaid program (“Duals”), Federally Qualified Health Center (FQHC), PACE program, etc. Real Estate, HR, Tax, Finance, Litigation
    5. 8+ years in a leadership position with progressive management responsibility
    6. 10 + years of experience in legal affairs for a health care organization and/or managed care environment /related relevant experience
    7. Knowledge of industry standards, current trends and their application to the inpatient/outpatient health care delivery or health plan/managed care setting and other regulatory and legislative issues.
    8. Corporate transaction, governance and operations a plus
